Introduction and Acceptance of Terms
Welcome to Daarli. These Terms of Use ("Terms") form a binding agreement between you and AIONSE FZE ("AIONSE", "Daarli", "we", "our", or "us"), governing your access to and use of the Daarli iOS Application, the Daarli Android Application, the Daarli Web Application, Daarli.com, and any other products or services operated under the Daarli brand (collectively, the "Service").
These Terms incorporate by reference our Privacy Policy, which explains how we collect, use, share, and protect your information, and any Additional Terms that may apply to specific features of the Service.
By creating a Daarli account, checking a box indicating your acceptance, or otherwise accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Service.
If you are a parent or legal guardian creating or supervising an account on behalf of a minor, you agree to these Terms on your own behalf and on behalf of that minor, and you are responsible for the minor's compliance with these Terms.
We may modify these Terms from time to time as described in Section 23 (Changes to These Terms).

Definitions
For the purposes of these Terms:
- Account means a registered Daarli user profile.
- AI Assistant means Daarli's integrated artificial intelligence assistant, described further in Section 11.
- Child Account means an account created by a parent or Family Administrator for a minor.
- Family Administrator means the primary account holder responsible for creating and managing a family within Daarli.
- Family Member means an invited user belonging to the same Daarli family.
- Premium Subscription means a paid subscription to additional features of the Service, purchased through the Apple App Store or Google Play Store.
- Service means the Daarli iOS, Android, and Web applications, Daarli.com, and related features described in Section 5.
- User Content means any information, text, images, calendar entries, tasks, lists, messages, or other content you submit to, or generate using, the Service.
- Terms means these Terms of Use, together with the Privacy Policy and any Additional Terms incorporated by reference.
Eligibility
You must have the legal capacity to enter into a binding contract in your jurisdiction to create a Daarli account independently.
Individuals under the applicable age of digital consent may only use the Service through a parent, legal guardian, or Family Administrator who creates and manages the account on their behalf, as described in Section 8. We do not knowingly permit children to use Daarli independently or without a parent or guardian's involvement and consent.
By using the Service, you represent that you meet these eligibility requirements, and, if you are acting on behalf of a family or organization, that you are authorized to bind that family or organization to these Terms.
The Daarli Service
Daarli is a family organization platform designed to help families coordinate schedules, communication, and daily life. Depending on the features you choose to use, the Service may include:
- Family calendar and event scheduling
- Shared tasks and to-do lists
- Grocery lists
- Meal planning
- Family chat
- Family location sharing and Safe Places
- An AI Assistant for summaries, suggestions, and productivity assistance
- Push notifications and reminders
- Premium Subscription features
- Customer support
Not all features are available on all platforms, in all countries, or to all users, and features may change over time as described in Section 17.
Account Registration and Security
To access most of the Service, you must register for an account. You agree to provide current, complete, and accurate information when registering and to keep that information up to date.
You are responsible for maintaining the confidentiality of your password and account credentials, and for all activity that occurs under your account. We encourage you to use a strong password and, where available, passkey authentication.
You agree to notify us immediately at support@aionse.com of any unauthorized use of your account or any other suspected breach of security.
Family Groups and the Family Administrator
Daarli allows you to create or join a family group. Each family has a designated Family Administrator, typically a parent or legal guardian, who may create the family group, invite and remove Family Members, create and manage Child Accounts, configure Safe Places, and administer certain family settings.
Family Administrators are responsible for ensuring that invitations are sent only to individuals authorized to join the family, and for managing access, permissions, and content within their family group.
Information shared within a family group — including calendar events, tasks, grocery lists, meal plans, family chat messages, and location (if enabled) — is visible only to authorized members of that family group, as described in our Privacy Policy.
Children's Use of Daarli
Daarli is designed for families and supports family collaboration under the supervision of parents or legal guardians. We encourage parents and legal guardians to create and manage Child Accounts, and we do not encourage or knowingly permit children to use Daarli independently or without their parent's or guardian's consent and involvement.
Creation of a Child Account by a parent or legal guardian, using their own verified Daarli account, serves as their agreement to these Terms and their consent to our collection and use of their child's information as described in our Privacy Policy, for the limited purpose of providing the family features they have chosen to enable.
Parents and legal guardians remain responsible for supervising their children's use of the Service, including the AI Assistant, reviewing AI-generated responses where appropriate, controlling location-sharing settings, and managing or deleting Child Accounts as necessary.
Children may not independently register for an account, purchase a Premium Subscription, or create a family group. Where Daarli is used by families in the United States, we intend for a child's information to be provided and managed by a parent or legal guardian, consistent with COPPA, as further described in our Privacy Policy.
Acceptable Use
You agree to use the Service only for its intended purpose of family organization and communication. You must not use the Service to upload, post, transmit, or share any content, or otherwise act in any way, that:
- is illegal, or violates applicable local, national, or international law;
- is pornographic, obscene, hateful, discriminatory, or promotes violence;
- harms or exploits minors in any way;
- threatens, harasses, stalks, defames, or intimidates any individual or group;
- infringes the intellectual property, privacy, or other rights of any person;
- introduces viruses, malware, or other technically harmful material;
- attempts to gain unauthorized access to the Service, other accounts, or any servers or databases;
- involves scraping, automated data collection, denial-of-service attacks, or vulnerability testing without our written consent;
- impersonates any person, or misrepresents your affiliation with AIONSE or Daarli; or
- sends unsolicited bulk messages, spam, or chain messages through the Service.
We encourage parents to be attentive to, and to supervise, the content their children access and share through the Service.
If we become aware of a violation of this Section, we reserve the right to investigate, remove or restrict content, and suspend or terminate accounts, and we may cooperate with law enforcement where required by applicable law.
User Content
You are solely responsible for all User Content you submit to, or generate using, the Service, including calendar entries, tasks, grocery lists, meal plans, family chat messages, photos, and other information.
AIONSE does not own your User Content. By submitting User Content to the Service, you grant AIONSE a limited, non-exclusive license to host, store, back up, transmit, reproduce, and display that User Content solely for the purpose of operating, maintaining, and providing the Service to you and the members of your family group — and not for any other purpose, such as public distribution, advertising, or AI model training.
You represent and warrant that you own, or have the necessary rights and consents to share, any User Content you submit, and that your User Content does not violate any law or any third party's rights.
We do not control or guarantee the accuracy of User Content submitted by you or other Family Members, and we are not responsible for User Content. We reserve the right, but do not assume the obligation, to review, restrict, remove, or refuse User Content that we determine, at our discretion, violates these Terms or applicable law.
The AI Assistant
Daarli includes an AI Assistant intended to help with family organization, such as daily summaries, recipe and grocery suggestions, educational explanations, event planning, and productivity assistance. Our AI Assistant is designed to assist — not replace — human judgment.
11.1 AI Limitations
Artificial intelligence can make mistakes. AI-generated responses may be inaccurate, incomplete, outdated, biased, or unsuitable for your circumstances. You remain responsible for evaluating and verifying AI-generated content before relying on it.
11.2 No Professional Advice
AI-generated responses do not constitute legal, medical, financial, or psychological advice, educational certification, or emergency guidance. If you require professional assistance, consult an appropriately qualified professional. The AI Assistant must not be used for emergencies — in an emergency, contact your local emergency services directly.
11.3 AI Safety for Families
We apply safeguards intended to make AI interactions suitable for family use. However, no AI system can guarantee perfectly appropriate responses in every situation. Parents remain responsible for supervising children's use of AI features, and AIONSE does not warrant that AI responses will always be suitable for minors. Further detail on how information is processed when you use the AI Assistant is set out in our Privacy Policy.
Subscriptions, Billing and Payments
Certain features of Daarli are available only with a Premium Subscription, purchased through the Apple App Store or Google Play Store. Pricing, trial periods (if any), and billing cycles are as displayed at the time of purchase and are subject to change with notice as required by applicable law or app store policy.
12.1 Auto-Renewal
Premium Subscriptions automatically renew at the end of each billing period unless cancelled at least 48 hours (monthly) or 60 days (yearly) before the end of the current period, in accordance with Apple's or Google's applicable terms. Your payment method will be charged for renewal through your Apple ID or Google Play account.
12.2 Cancellation
You may cancel your Premium Subscription at any time through your Apple App Store or Google Play Store account settings. Cancellation takes effect at the end of the current billing period; we do not process partial-period refunds directly, as billing is managed by Apple or Google. AIONSE reserves the right to suspend and/or terminate the Subscription in the event of non-payment, after sending a written demand for payment that has remained without effect seven (7) days after it was sent.
12.3 Refunds
Refund requests are subject to the applicable refund policy of the Apple App Store or Google Play Store, as we do not directly process your payment or have access to your complete payment details.
12.4 Family Subscriptions
Where a Premium Subscription is shared across a family group, the Family Administrator is responsible for managing the subscription. Children may not independently purchase or manage a Premium Subscription.
12.5 App Store and Play Store Terms
If you download the Service via the Apple App Store or Google Play Store, you must comply with applicable app store terms and confirm that you are not located in a restricted jurisdiction.
Third-Party Services and Links
The Service may contain links to third-party websites, applications, or services that are not owned or controlled by AIONSE. We provide these links for convenience only, and inclusion of a link does not imply our endorsement of, or affiliation with, the linked service.
Your access to and use of any third-party service is at your own risk and subject to that third party's own terms and privacy policy. Any claims relating to a third-party service must be directed to that third party, not to AIONSE.
Intellectual Property Rights
Excluding User Content, all software, text, graphics, logos, trademarks, and other materials that make up the Service (the "Daarli Content") are owned by AIONSE or its licensors and are protected by copyright, trademark, and other intellectual property laws.
Subject to your compliance with these Terms, AIONSE grants you a personal, non-exclusive, non-transferable, revocable, limited license to access and use the Service and Daarli Content for your personal, non-commercial, family-organization purposes. You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works based on the Service or Daarli Content, except as permitted by applicable law.
"Daarli" and associated logos are trademarks of AIONSE. Other product and company names referenced in the Service may be trademarks of their respective owners.
Feedback
If you submit suggestions, ideas, or feedback about Daarli ("Feedback"), you grant AIONSE a worldwide, royalty-free, irrevocable, perpetual license to use, modify, and incorporate that Feedback into the Service without any obligation or compensation to you. You agree not to submit Feedback that you consider confidential or proprietary, since we may use it freely under this license.
Privacy
Our Privacy Policy explains how we collect, use, share, store, and protect information about you and your use of the Service, and is incorporated into these Terms by reference. By using the Service, you agree to the collection and use of your information as described in the Privacy Policy, including the international transfer of information as described there.
If there is a direct conflict between these Terms and the Privacy Policy on a matter of data protection, the Privacy Policy will govern with respect to that matter.
Availability, Modifications and Updates
We use reasonable efforts to keep the Service available and operating properly, but the Service may not always be available, and interruptions or downtime may occur due to maintenance, technical issues, or circumstances beyond our control.
We reserve the right to modify, suspend, withdraw, or restrict any part of the Service, including any feature or functionality, at any time. Where a modification materially and negatively affects your use of the Service, we will use reasonable efforts to notify you in advance where practicable.
Disclaimers
THE SERVICE, INCLUDING THE AI ASSISTANT, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
AIONSE does not warrant that the Service will be uninterrupted, error-free, that AI-generated content will be accurate or suitable for your purposes, or that any defects will be corrected. Nothing in this Section limits any right you may have under applicable law that cannot be lawfully excluded or limited.
Limitation of Liability
To the fullest extent permitted by applicable law, AIONSE will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of, or inability to use, the Service, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by applicable law, AIONSE's total aggregate liability arising out of or relating to these Terms or the Service will not exceed the lesser of (a) the pro-rated fees actually paid by you to AIONSE for the Premium Subscription during the period in which the event giving rise to the liability occurred, or (b) Thirty United States dollars (USD 30).
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or willful misconduct.
Indemnification
You agree to defend, indemnify, and hold harmless AIONSE, its officers, employees, agents, and licensors from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party. This indemnification obligation survives termination of these Terms.
Termination
You may stop using the Service and delete your account at any time, as described in our Privacy Policy.
We may suspend or terminate your access to all or part of the Service, with or without notice, if we reasonably believe you have violated these Terms, engaged in illegal or fraudulent activity, or created risk or possible legal exposure for AIONSE or other users, or as necessary to comply with applicable law.
Upon termination, your right to use the Service ceases immediately. Sections 3, 9, 10, 14, 15, 16, 18, 19, 20, 22, and 24 survive termination of these Terms.
Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates, without regard to conflict of law principles.
If you have a concern or dispute, you agree to first contact us at support@aionse.com so that we may attempt to resolve it informally and in good faith. If a dispute cannot be resolved informally within a reasonable time, it will be subject to the exclusive jurisdiction of the competent courts of Dubai, United Arab Emirates, unless mandatory applicable law requires otherwise.
Nothing in this Section limits any mandatory right you may have under the applicable laws of your country of residence, including any right to bring a claim before your local courts or regulator, where such rights cannot be waived by contract.
Changes to These Terms
We may modify these Terms from time to time to reflect changes in our Service, applicable law, or business practices. If we make material changes, we will provide notice through the Service, by email where appropriate, or by other means required by applicable law, and we will update the "Last Updated" date at the top of these Terms.
Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and, where applicable, delete your account.
General Provisions
- Entire Agreement — these Terms, together with the Privacy Policy and any Additional Terms, constitute the entire agreement between you and AIONSE regarding the Service, and supersede any prior agreements on this subject.
- Severability — if any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
- No Waiver — our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
- Assignment — you may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.
- Headings — section headings are for convenience only and have no legal or contractual effect.
- Force Majeure — we will not be liable for any delay or failure to perform resulting from causes outside our reasonable control.
Notices
We may provide notices to you, whether required by law or for operational purposes, by email, by posting a notice within the Service, or by other lawful means, as we determine appropriate. You agree to keep your email address current and to review notices provided through the Service.
